Vancouver, British Columbia, May 30, 2025 (GLOBE NEWSWIRE) — Terra Balcanica Resources Corp. (“Terra” or the “Company”) (CSE:TERA; FRA:UB1) announces that it is extending the closing of it non-brokered, listed issuer financing exemption private placement (the “Private Placement”) for minimum gross proceeds of C$750,000, and maximum gross proceeds of up to C$1,117,495 through the issuance of up to 11,174,950 units (each a “Unit”) at a purchase price of C$0.10 per Unit. Each Unit will be comprised of one common share in the capital of the Company (“Common Share”) and one-half of one Common Share purchase warrant (each whole warrant, a “Warrant”). Each Warrant is exercisable to purchase one Common Share (“Warrant Share”) at an exercise price of C$0.20 per Warrant Share for a period of 24 months from the closing date of the Private Placement (the “Closing Date”). The closing of the Private Placement is expected to occur on or about July 11th, 2025, and is subject to the approval of the Canadian Securities Exchange. Subject to compliance with applicable regulatory requirements, the Private Placement is being conducted pursuant to the listed issuer financing exemption under Part 5A of National Instrument 45-106 – Prospectus Exemptions.
