(“CompoSecure” or the “Company”) (Nasdaq: CMPO), a leader in metal payment cards, security, and authentication solutions, today announced the commencement of an underwritten public offering (the “Offering”) of 7,000,000 shares of the Company’s Class A common stock, par value $0.0001 per share (the “Class A Common Stock”), by certain shareholders of the Company (the “Selling Shareholders”). In connection with the Offering, the Selling Shareholders expect to grant the underwriters a 30-day option to purchase an additional 1,050,000 shares of Class A Common Stock. CompoSecure is not offering any shares of its Class A Common Stock in the Offering and will not receive any proceeds from the sale of shares of Class A Common Stock in the Offering.
J.P. Morgan, BofA Securities and TD Cowen are acting as joint book-running managers for the Offering.
