On February 5, 2024, Haynes announced that it had entered a deal to merge with North American Stainless. Under the terms of the deal, Haynes shareholders will receive $61.00 per share in an all-cash offer.
The investigation concerns whether the Haynes board failed to satisfy its duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for Haynes shares of common stock.
